Our services include but are not limited to:

• Project targeting and success probability scoring
• Pricing optimisation recommendations
• Client relationship analytics
• Custom reporting and dashboard tools

User Accounts and Registration

To access certain features of our service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.

You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

User Obligations

The hypertrxproon service, including all software, algorithms, designs, text, graphics, and other content, is owned by hypertrxproon Ltd and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use our services solely for your internal business purposes in accordance with these Terms. This licence does not include any right to:

• Resell, distribute, or sublicense our services
• Modify, adapt, or create derivative works based on our services
• Reverse engineer or attempt to extract source code from our software
• Remove or alter any proprietary notices or labels

All trademarks, service marks, and trade names used in our services are the property of hypertrxproon Ltd or their respective owners.

Service Availability and Modifications

We strive to maintain high availability of our services, but we cannot guarantee uninterrupted access. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Limitation of Liability

To the fullest extent permitted by applicable law, hypertrxproon Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

In no event shall hypertrxproon Ltd's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to hypertrxproon for the services in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You acknowledge that the analytics and recommendations provided by our services are tools to assist in decision-making and that hypertrxproon is not responsible for any business decisions you make based on our services.

Indemnification

You agree to indemnify, defend, and hold harmless hypertrxproon Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any data or content you submit to our services

This indemnification obligation will survive termination of these Terms and your use of our services.

Termination

Either party may terminate these Terms at any time. You may terminate your account by contacting us or through your account settings. We may terminate your access to our services at any time, with or without cause, with or without notice.

Upon termination, your right to use our services will cease immediately. We may, but are not obligated to, provide you with access to export your data for a limited period following termination.

The following sections will survive termination of these Terms: Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in activities that we determine to be harmful to our services or other users.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.

The European Commission provides an online dispute resolution platform, which you can access at ec.europa.eu/consumers/odr/. We are not obligated to participate in alternative dispute resolution procedures, but we are committed to resolving disputes fairly and efficiently.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and hypertrxproon Ltd regarding the use of our services and supersede all prior agreements and understandings.
